1. DEFINITIONS
1.1 Terms and Conditions – these general terms and conditions of fundesign.fi, which apply to all purchases made by the buyer as defined in section 3.1 and govern all transactions between the buyer and the seller.
1.2 Personal Data – all information relating to an identified or identifiable natural person (data subject); an identifiable person is one who can be identified, directly or indirectly, especially by reference to identifying information such as name, personal identification number, location data, online identifier, or one or more factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of that person.
1.3 Product – a product sold on the fundesign.fi website.
1.4 fundesign.fi – the online marketplace at fundesign.fi, where the seller’s products are sold, managed by Artmu Oy, a Finnish business with company ID 3322952-2. fundesign.fi is the seller of the products it directly sells. Thus, depending on the context, fundesign.fi may refer to the online marketplace located at fundesign.fi, or FunDesign (Artmu Oy) as the operator of the marketplace or as the seller of the products or services offered there, whenever FunDesign (Artmu Oy) is designated as the seller of the products or services.
1.5 Account – the customer account created by the buyer on the fundesign.fi website or app.
1.6 Agreement – the sales contract between the buyer and the seller regarding the purchase of the respective products, considered concluded after the order confirmation. All terms of the agreements concluded between the buyer and the seller are identical to these general terms and conditions, and the parties must comply with them under these general terms and conditions.
1.7 Seller – the legal entity or natural person mentioned in the order whose products are sold on the fundesign.fi website and who, under these general terms and conditions, is responsible for fulfilling the order placed by the buyer. The seller with whom the goods purchase and sale agreement is concluded under these general terms is indicated in the product description for sale, and the relevant seller information is included in the order and the order confirmation or invoice sent to the buyer.
1.8 Buyer – a person who purchases products from the fundesign.fi website and who is: 1) a legally competent natural person, i.e., a person of legal age whose legal capacity has not been restricted by a court decision; 2) a minor aged between 15 and 18 with prior consent from their legal guardian; or 3) a legal entity.
1.9 Parties – the buyer and the seller together.
1.10 Privacy Policy – the document established by fundesign.fi that describes the main practices concerning the collection, storage, processing, and maintenance of personal data related to the use of the fundesign.fi website. The privacy policy of the fundesign.fi website does not apply to the processing of personal data insofar as the seller processes personal data as the data controller. The processing of personal data carried out by the seller as the data controller is governed by the seller. The buyer must carefully review the seller’s personal data processing practices before purchasing products and entering into this agreement.
1.11 Consumer – a buyer who is a natural person and does not use the fundesign.fi website for independent economic activity or professional practice.
1.12 Order – the order placed by the buyer on the fundesign.fi website for the purchase of products. The products to be purchased are specified in the order.
2. GENERAL TERMS
2.1. The buyer confirms that they have read these general terms and conditions by ticking the box “I have read and accept the general terms and conditions of the fundesign.fi website.” These accepted general terms and conditions constitute a legally binding document between the parties, establishing the rights and obligations of the buyer and the seller, the conditions applicable to the purchase and payment of products, the rules related to the delivery and return of products, and other terms related to the purchase and sale of products on the fundesign.fi website.
2.2. The buyer accepts these general terms and conditions when creating an account and registering for the first time on thefundesign.fi website. These general terms and conditions apply to all purchases made by the buyer on the fundesign.fi website and all agreements for the sale and purchase concluded with sellers after the buyer has first accepted these general terms and conditions during initial registration (account creation) and before the updated general terms and conditions are published. Upon updating the general terms and conditions, the updated terms apply after their publication on the fundesign.fi website, and buyers are notified in accordance with section 2.4 of the general terms and conditions.
2.3. Products on the fundesign.fi website can only be purchased by buyers as defined in section 1.8 of the general terms and conditions. The buyer confirms that they have the right to purchase products from the fundesign.fi website by accepting the general terms and conditions and reviewing the privacy policy (section 2.5 of the general terms and conditions) and the terms of use of the fundesign.fi website.
2.4. fundesign.fi has the right to unilaterally amend or supplement the general terms and conditions for business reasons or in situations defined by Finnish law. Buyers are notified of this upon the introduction of a new version of the general terms and conditions when logging into their accounts or purchasing products from a selected seller.
2.5. The buyer is obligated to review the privacy policy established and published by fundesign.fi. The buyer’s personal data is also transmitted to the seller from whom the buyer purchases products, and this personal data is processed in accordance with the respective seller’s rules and the obligations regarding the security of personal data arising from the agreement between the seller and fundesign.fi.
2.6. If the seller is obliged or has the right to communicate information or documents to the buyer via email, the buyer is solely responsible for providing a functioning email address belonging to the buyer to the seller without exception.
3. PRODUCT PRICES, PAYMENT, AND DEADLINES
3.1. The prices of products on the fundesign.fi website are quoted in euros. Prices include the applicable statutory value-added tax (VAT) and other taxes, if any.
3.2. The buyer can pay for the ordered products using one of the following payment methods (options may be limited, so the final payment methods for each order will be described during the order process):
3.2.1. via online banking;
3.2.2. through consumer credit agreements offered by financial institutions;
3.2.3. using other payment methods indicated on the fundesign.fi website.
3.3. The order for products is confirmed when the seller receives confirmation of payment for the products.
3.4. By accepting the general terms and conditions, the buyer agrees that order documents for the products, including product warranty documents, may be provided to the buyer along with the products or sent electronically to the email address provided during the buyer’s account registration immediately after the order has been processed. The VAT invoice will include the seller’s details, selected products, product quantities, final price (including all taxes), and other information required by accounting law.
3.5. Documents for the products purchased by the buyer may also be added to the buyer’s account on the fundesign.fi website, accessible under the “My Account” submenu. When placing an order, the buyer can view and print the order confirmation and invoice from the “My Account” section of the website.
3.6. The product price may be changed after the seller has confirmed the order only in exceptional cases, such as when the price of the product has changed due to a technical error in the information system, correction of obvious mistakes, or other objective reasons beyond the seller’s control, and if the buyer should have understood that the price was incorrect. The burden of proof lies with the seller in this situation. If the buyer does not accept the new price of the purchased product, the buyer may cancel the order by notifying the seller via the fundesign.fi website within two (2) business days using the contact information provided on the fundesign.fi website. If the order is canceled in accordance with this section, the seller agrees to refund the buyer all amounts paid for the canceled order.
3.7. If the buyer selects products from multiple sellers, the products from each seller may be divided into separate shopping carts, resulting in separate orders. If the order is divided in this manner, the cost of additional services for the order (e.g., delivery, etc.) will be divided among the separate orders, so prices may differ from those listed in the respective product description.
3.8. fundesign.fi reserves the right to add an additional surcharge for small orders where the total amount is less than the minimum order value. The surcharge and minimum order value will be defined at the time of placing the order.
4. DELIVERY
4.1. Delivery Times and Delays
The delivery times indicated in the product description are indicative. The seller delivers the products to the buyer according to the delivery times specified in the order. The delivery times of the products, excluding the sale to the consumer, are not observed when the products are not in the seller’s warehouse, and the buyer is notified of the end of the ordered goods. By accepting these general terms and conditions, the buyer also accepts that, in exceptional cases, the delivery of the products may be delayed for unexpected reasons beyond the seller’s control. In this case, the seller undertakes to immediately contact the buyer and agree on a new delivery time and other matters. If the seller does not deliver the products within the delivery time specified in the order, and the parties do not agree on a new delivery time for the products, the buyer can exercise their right to cancel the contract according to Section 11 of the general terms and conditions. In such a situation, the buyer who is a consumer can also exercise their statutory rights.
4.2. Seller’s Release from Liability
The seller is released from responsibility related to the violation of the terms of delivery of the products if the products are not delivered to the buyer or are delivered at the wrong time due to a third party unrelated to the seller and/or independent of the seller, or for other reasons beyond the seller’s control.
4.3. Inspection of Delivered Products
The buyer must check the condition of the shipment and the products within a reasonable time after receiving the products. If the buyer notices damage to the product’s packaging (e.g., broken, wet, or other damage), or the products are damaged and/or something is missing from the product, the buyer must notify FunDesign (fundesign.fi) within a reasonable time after discovering the error or should have discovered it. However, the buyer who is a consumer always has the right to report an error within two months after the buyer actually discovered the error.
4.4. Transfer of Risk
The risk of accidental destruction and damage to the products is transferred to the buyer when the products are handed over to the buyer.
4.5. Failure to Receive Products
If the buyer does not receive the products by the deadline in accordance with clauses 4.2–4.6 of these general terms and conditions, or the delivery of the products to the buyer is not successful, and the buyer has paid for the products and their shipping, the seller’s representatives will contact the buyer to agree on a new delivery date or delivery method. If the buyer does not pick up the products and they cannot be handed over to the buyer, the products will be returned to the seller, the order will be canceled, and the amount paid for the products will be returned to the buyer, excluding the possible delivery fee.
4.6. Order Cancellation Due to Non-Receipt
If the buyer does not receive the products by the specified time in accordance with clauses 4.2 to 4.6 of these general terms and conditions, or their delivery to the buyer is not successful, and the buyer has not paid for the products, the products will be returned to the seller, and the order will be canceled.
5. CANCELLATION OF THE AGREEMENT, PRODUCT RETURNS, AND EXCHANGES
5.1. Right to Cancel the Agreement and Exchange Products
5.1.1. If the buyer is a consumer, they have the right to cancel the agreement without providing a reason within 14 (fourteen) days (starting from the date specified in section 5.1.3) by notifying either the seller or Artmu Oy (fundesign.fi), which will then inform the seller of the buyer’s decision to cancel the agreement. This right is granted in accordance with the Finnish Consumer Protection Act, Chapter 6, Section 14. Buyers who are not consumers do not have the right to cancel the agreement.
5.1.2. The consumer does not have the right to cancel the agreement under Chapter 6, Section 14 of the Consumer Protection Act if:
a) The product is made or customized to meet the consumer’s personal needs; b) The product is manufactured or altered according to the consumer’s specifications; c) The product is perishable or has a short shelf life; d) The product is delivered in a sealed package, which has been opened after delivery, and thus the product cannot be returned for health or hygiene reasons; e) The product is a newspaper, magazine, or other regularly published periodical, excluding long-term subscription agreements for such products; f) The product is a sealed audio or video recording or computer software, and the consumer has broken the seal.
5.1.3. The 14-day cancellation period of the agreement is calculated as follows:
a) From the day after the conclusion of the sale, when the buyer or a person nominated by the buyer (other than the carrier) receives the ordered products; b) If the buyer orders multiple products from different sellers in a single order and the products are delivered separately, the 14-day cancellation period is calculated separately for each seller from the day the buyer or a person nominated by the buyer (other than the carrier) receives the respective seller’s products; c) If products are delivered in batches or parts, from the day the buyer or a person nominated by the buyer receives the final batch or part of the order; d) In the case of contracts for the regular delivery of products over a specified period, from the day the buyer or a person nominated by the buyer (other than the carrier) receives the first product; e) If the last day of the cancellation period falls on a Saturday or public holiday, the cancellation notice can still be given on the first business day thereafter; and f) If no other evidence of the receipt time is presented, a notice sent by mail is considered received by the seventh day after dispatch, and an electronically sent notice is considered received on the day it was sent.
5.1.4. When canceling the agreement, the buyer also has the right to exchange the purchased product for a different one in terms of size, shape, color, model, or configuration. If there is a price difference in the exchanged product, the buyer agrees to pay the new price to the seller. If the buyer wishes to exercise the exchange right, they must notify the seller in the same way as for the cancellation of the agreement.
5.2. Cancellation of the Agreement and Product Exchange
5.2.1. If the buyer is a consumer, they may directly contact the seller from whom the product was purchased and cancel the agreement with the seller, or they may contact FunDesign (fundesign.fi).
5.2.2. The consumer must notify of the cancellation by sending a cancellation notice to FunDesign at info@fundesign.fi, indicating the consumer’s intention to cancel the agreement.
5.2.3. Upon receiving the notice from the buyer, FunDesign will promptly confirm the receipt of the notice and inform the seller accordingly.
5.2.4. If the buyer cancels the agreement before the product is delivered to them, the buyer must notify this by email to info@fundesign.fi. The buyer’s notice will be confirmed as a cancellation of the agreement, and the seller will be notified.
5.2.5. The buyer agrees to return the product within 14 days of making the cancellation notice. The buyer can return the product via the courier service to FunDesign or directly to the seller or by mailing the product. The product should be sent to the address indicated on the invoice provided by the seller or through FunDesign, which will then return the product to the seller. The buyer and seller must agree separately on the return of heavy items (e.g., for inspection, modifications, repair, or return) through FunDesign by phone or email, or the buyer may deliver the product directly to the seller.
5.2.6. If the buyer exercises their right to cancel the agreement, the amount paid by the buyer will be refunded within 14 (fourteen) calendar days from the receipt of the cancellation notice, provided that the returned product has already been received by the seller or the consumer has provided proof of sending the product back and that the product meets the applicable return conditions.
5.2.7. Upon cancellation of the agreement, the buyer will be refunded the product price and any delivery costs paid by the consumer. If the buyer selected a delivery method other than the one offered by the seller as the standard and cheapest option, the seller is not obliged to refund the difference between the buyer’s chosen delivery method and the standard delivery method.
5.2.8. If the buyer wishes to exchange the product, the seller agrees to exchange the product for one of the size, shape, color, model, or configuration specified by the buyer, after the seller has received the returned product and ensured it meets the conditions set out in this section. If the seller does not have a suitable replacement product, they will refund the buyer the amount paid for the product as stipulated in this section.
5.3. Rights and Obligations of the Buyer Related to the Cancellation of the Agreement as a Buyer
5.3.1. When exercising the right to cancel, the returned product must be in its original condition (including all items and documents contained in the product packaging).
5.3.2. The buyer will bear the direct costs of returning the product, unless otherwise agreed by the parties.
5.3.3. Any free items and gifts included with the purchased product must be returned together with the product, unless the product is returned due to quality defects, and the gifts included with the product have been used due to their nature or have expired by the time the defect was discovered, meaning such gifts can no longer be used.
5.3.4. When returning the product, the buyer must clearly indicate the sender’s address and properly package the product to prevent damage during transportation. The seller is not responsible for any shipment that the buyer has improperly packed, misaddressed, or if the package is lost or damaged when returned to the seller.
5.3.5. If the buyer has purchased a product set and the items in the set form a complete unit, they must return the entire product set to the seller, i.e., the buyer may only return the product if they also return all items included in the set. If at least one of the items in the set does not meet the return requirements, the seller has the right to refuse the return of the entire product set.
5.3.6. The buyer is entitled to a refund only if they have used the product in a way necessary to verify the composition, characteristics, and functioning of the product as would be done in a physical store. If the buyer has used the product in any other way than necessary to verify the composition, characteristics, and functioning of the product, the buyer is responsible for the reduction in the value of the product due to its use, regardless of the reason or excuse. The same applies if the buyer has damaged or destroyed the product. In these cases, the seller has the right to deduct the costs of repairing, replacing, or restoring the product or any objectively justified damages incurred from the buyer’s refund.
5.4. Replacement and Return of Defective Products
5.4.1. If the product is defective, the defect will be rectified, and the defective product returned according to these general terms and conditions and the requirements set by Finnish law. In such cases, the 14-day return period does not apply to the return of defective products.
5.4.2. If the buyer has received a defective product and has indicated this on the product’s delivery and receipt document, or the defect is due to a manufacturing error that existed at the time of delivery, or the product does not match the provided description, the buyer may return the product and request, at their discretion:
a) The seller corrects the defect free of charge within a reasonable time, if it is reasonably possible to do so; or b) The seller replaces the defective product with a defect-free product, unless the defect is minor or caused by the buyer.
5.4.3. The buyer can choose only one remedy as defined in section 5.2 of these general terms and conditions. If the buyer is a consumer, this does not prevent the buyer from using multiple remedies simultaneously, where applicable. This does not limit the consumer’s rights to use additional remedies listed in Section 5 of the Finnish Consumer Protection Act, such as the right to demand compensation, terminate the contract, demand a price reduction, or claim interest on late payments. The buyer must notify the seller of their claim when submitting a defect notice. If the buyer chooses a remedy under section 5.2 but the seller cannot reasonably fulfill it, the seller may suggest another remedy defined in section 5.2 or under consumer protection law. A consumer buyer cannot change the selected remedy unless otherwise mandated by applicable law. The buyer has no right to demand contract termination if the product defect is minor.
5.4.4. If a defect in the product results in the termination of the sale, the defective product must be returned to the seller, and the product price, as well as any applicable service fees and delivery charges, will be refunded to the buyer. Costs associated with returning the product will not be reimbursed unless the buyer is a consumer.
5.4.5. If the buyer wishes to return the product and terminate the contract, they must:
a) Notify FunDesign by email at info@fundesign.fi, specifying the products to be returned; b) Provide proof of purchase and any warranty documentation (if applicable); and c) Provide a brief description of the defect and send it to FunDesign.
5.4.6. The buyer can exercise their right to terminate the contract and return defective products within the warranty period stated on the purchase receipt, which is determined by the seller who sold the product. The above does not limit the buyer’s statutory rights as a consumer if the defect occurs after the warranty period and is considered the seller’s responsibility. The buyer agrees to pay the shipping and return costs, and if the seller deems the product defective, they will reimburse the buyer for shipping and return costs, except in cases specified in these general terms and conditions. If the buyer is a consumer, the seller is responsible for the costs associated with returning the products.
5.4.7. The product price will be refunded to the buyer within 14 (fourteen) calendar days after the seller has received the buyer’s notice of the defect and the request for contract termination, provided that the product has a defect warranting contract termination and the buyer has returned the defective product to the seller. If the buyer has not returned the product to the seller, this period starts on the day the defective product is returned to the seller. By accepting these general terms and conditions, the buyer agrees that the product price will be refunded to the buyer’s bank account unless otherwise agreed between the buyer and seller.
5.4.8. The price paid for defective products will not be reduced or refunded if the product was damaged either intentionally or due to negligence (damage caused by chemicals, water, open fire, high temperatures, sharp objects, etc.) or if the usage or storage instructions were violated, or if the products were misused or used contrary to their intended purpose.
5.4.9. The seller may define additional terms for returning defective products in the warranty documents provided with the products. Such rules will apply to the extent that they do not conflict with these general terms and conditions. If these general terms and conditions and the seller’s defined terms conflict, these general terms and conditions will prevail.
5.5. Returning and Exchanging Incorrect Products
5.5.1. If the buyer has received the wrong product, they must notify FunDesign as soon as possible, but no later than seven (7) business days, by email at info@fundesign.fi. Upon receiving the notification, FunDesign will inform the seller of the incorrect product delivery, and the seller will then be responsible for retrieving the product at their own expense and sending the correct product. If the seller does not have the ordered product, they will refund the buyer for the product. The refund will be issued to the buyer within 14 (fourteen) calendar days after the seller has been informed of the contract termination. However, if the buyer has not returned the product to the seller, this period starts on the day the product is returned to the seller. By accepting these general terms and conditions, the buyer agrees that the refund will be made to the buyer’s bank account unless otherwise agreed. The buyer also agrees that FunDesign may recommend a similar or identical product from another seller. The seller who delivered the wrong product and does not have the ordered product has indicated through their FunDesign contact information that they accept FunDesign’s recommendation of a similar or identical product from another seller. Additionally, a consumer buyer has the right to invoke their statutory rights if the seller does not have the ordered product.
6. DISPUTE RESOLUTION
6.1. These general terms and conditions, and any disputes arising from the contractual relationship between the buyer and seller, are governed by Finnish law.
6.2. In the event of a dispute arising from the interpretation or implementation of these general terms and conditions, the buyer may first attempt to resolve the matter amicably by contacting FunDesign or the seller directly. If the dispute cannot be resolved amicably, the buyer may contact the Finnish Consumer Disputes Board or a corresponding entity in the buyer’s country of residence.
6.3. If the dispute cannot be resolved through negotiation or mediation, the matter will be resolved by the District Court of Helsinki, unless otherwise agreed between the parties.
7. SELLER RESPONSIBILITIES
7.1. Guarantee of Originality and Intellectual Property Compliance
7.1.1. By listing products on FunDesign, the seller guarantees that all products are original designs and do not infringe on any third-party intellectual property rights, including but not limited to copyrights, trademarks, and patents.
7.1.2. The seller assumes full responsibility for ensuring that their products comply with all applicable intellectual property laws and that they have the necessary rights, licenses, or permissions to sell the products.
7.1.3. In the event of any intellectual property disputes, claims, or legal actions arising from the sale of the seller’s products, the seller agrees to fully indemnify and hold FunDesign harmless from any liabilities, costs, damages, or expenses, including legal fees, that may arise.
7.1.4. FunDesign reserves the right to remove any products from the platform that are found or suspected to violate intellectual property rights, and to take appropriate actions against sellers who breach this guarantee, including but not limited to suspending or terminating their accounts.
7.2. Product Quality and Safety
7.2.1. Sellers are responsible for ensuring that all products meet applicable quality, safety, and legal standards, including any relevant regulations and certifications.
7.2.2. Sellers must ensure that products are free from defects and are fit for their intended purpose.
7.2.3. In the event of product recalls or safety issues, sellers are responsible for taking immediate action to notify FunDesign and the affected customers, and to provide remedies such as refunds, replacements, or repairs.
7.3. Accurate Product Descriptions
7.3.1. Sellers must provide accurate and complete descriptions of their products, including but not limited to product dimensions, materials, colors, usage instructions, and any other relevant information.
7.3.2. Misleading or false advertising is strictly prohibited. Sellers are responsible for ensuring that their product listings reflect the true nature and quality of the products being sold.
7.4. Pricing and Taxes
7.4.1. Sellers are responsible for setting the prices of their products, including any applicable taxes. Sellers must comply with all relevant tax regulations and ensure that any taxes are correctly applied and reported.
7.4.2. FunDesign is not responsible for any tax obligations related to the sale of products by the seller.
7.5. Shipping and Delivery
7.5.1. Sellers are responsible for shipping and delivering their products to customers in a timely and efficient manner, according to the delivery methods and timelines specified in their listings.
7.5.2. Sellers must provide accurate tracking information and communicate promptly with customers regarding any delays or issues with the delivery of products.
7.5.3. Sellers are responsible for any shipping costs unless otherwise specified in the product listing or agreed upon with the buyer.
7.6. Customer Service and Returns
7.6.1. Sellers must provide prompt and courteous customer service, addressing any inquiries, complaints, or issues that customers may have.
7.6.2. Sellers are responsible for honoring their return, exchange, and refund policies as specified in their product listings and in compliance with FunDesign’s overall return policy.
7.6.3. In the event of product defects, misdeliveries, or customer dissatisfaction, sellers are responsible for providing appropriate remedies, including refunds, replacements, or repairs.
7.7. Legal Compliance
7.7.1. Sellers must comply with all applicable laws and regulations, including but not limited to consumer protection, product safety, intellectual property, and data protection laws.
7.7.2. Sellers are responsible for ensuring that their business practices, products, and customer interactions comply with all relevant legal requirements in the jurisdictions in which they operate.
7.8. Indemnification
7.8.1. Sellers agree to indemnify and hold FunDesign harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to the seller’s breach of these terms, violation of any law or third-party rights, or any other actions related to the seller’s use of FunDesign’s platform.
7.9. Termination and Account Suspension
7.9.1. FunDesign reserves the right to suspend or terminate a seller’s account if they violate any of these responsibilities, engage in fraudulent or illegal activities, or fail to comply with FunDesign’s policies and procedures.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
